By accessing and using the website and services provided by Digitalbureaus, registered at 2 Place de Bagatelle, 92200 Neuilly-sur-Seine, France ("Provider"), you agree to be bound by these Terms of Service. If you do not agree with any provision herein, you must discontinue use of our services immediately.

2.2 Scope of Services

Digitalbureaus provides modern web services, automated deployment pipelines, and secure digital software development services. Specific service scope, deliverables, timelines, and pricing are defined in individual Statements of Work (SOWs) executed between the parties. These Terms apply to all services unless explicitly superseded by a signed SOW.

2.3 Intellectual Property

Upon complete payment of all agreed invoices, Digitalbureaus assigns all worldwide intellectual property rights, including copyright and related rights, in client-specific deliverables (source code, design assets, documentation) to the Client. Pre-existing tools, frameworks, libraries, and methodologies used in service delivery remain the property of Digitalbureaus. The Client receives a perpetual, non-exclusive license to use any pre-existing components incorporated into deliverables.

2.4 Payment Terms

Unless otherwise specified in a signed SOW, invoices are payable within 14 calendar days of issuance. A 50% upfront deposit is required before work commences on any new project. Late payments incur a statutory interest rate of 3 times the French legal interest rate (taux d'intérêt légal) per annum, calculated from the due date. Digitalbureaus reserves the right to suspend services for invoices overdue by more than 30 days.

2.5 Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of engagement. Confidential information includes, but is not limited to, business strategies, technical specifications, source code, client lists, and financial data. This obligation survives termination of the agreement for a period of 3 years.

To the maximum extent permitted by applicable law, Digitalbureaus shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Total aggregate liability for any claim arising from or related to these Terms or our services shall not exceed the total amount paid by the Client to Digitalbureaus in the 12 months preceding the claim.

2.7 Termination

Either party may terminate a service agreement with 30 days' written notice. Digitalbureaus may terminate immediately if the Client breaches any material term of these Terms or a signed SOW. Upon termination, the Client shall pay for all services rendered up to the date of termination. All completed deliverables for which payment has been received shall be transferred to the Client.

2.8 Governing Law & Disputes

These Terms are governed by the laws of France. Any dispute arising from these Terms or the services provided shall be submitted to the exclusive jurisdiction of the courts of Nanterre, France. The parties agree to attempt amicable resolution before initiating formal proceedings.

Payments for completed and delivered work are non-refundable. If the delivered work does not meet the specifications outlined in the signed Statement of Work (SOW), the Client must notify Digitalbureaus within 14 calendar days of delivery. 4.5 Cancellation by Client

The Client may cancel a project at any time by providing written notice. Digitalbureaus will cease work promptly and issue an invoice for all work completed up to the date of cancellation. Any overpayment beyond the invoiced amount will be refunded within 30 calendar days.

4.6 Cancellation by Digitalbureaus

Digitalbureaus reserves the right to cancel a project if the Client breaches material terms of the agreement, fails to provide required materials or feedback within 30 days, or engages in conduct that impedes project delivery. In such cases, the Client will be invoiced for all work completed to date, and no refund of the upfront deposit will be provided.

4.7 Refund Process

To request a refund, contact us at [email protected] with your project reference, the reason for the refund request, and supporting documentation. We will acknowledge receipt within 2 business days and provide a resolution within 14 calendar days. Approved refunds are processed via the original payment method.
